Terms of Use
These Terms of Use (the "Terms") set forth the terms and conditions for using "Upromp" (the "Service") provided by Upromp Operations (the "Operator").
Users of the Service (the "Users") shall use the Service after agreeing to these Terms.
Article 1 (Application)
- 1. These Terms apply to all relationships between the Operator and users concerning use of the Service.
- 2. Posting Guidelines, the Privacy Policy, and other rules posted by the Operator on the Service constitute part of these Terms.
- 3. If these Terms conflict with individual rules, the individual rules prevail unless otherwise specified.
Article 2 (Service Description)
- 1. The Service allows users to post, view, and share prompts entered into AI, AI outputs, additional turns, shared links, creator comments, impressions, useful points, disappointing points, and similar information.
- 2. The Service may provide features such as post visibility settings, private accounts, followers-only posts, Like, Bookmark, Follow, follow requests, reports, and feedback.
- 3. The Operator may change, add, suspend, or terminate the content, specifications, features, design, name, URL, and other aspects of the Service as necessary.
Article 3 (Account Registration)
- 1. Users shall register an account by the method prescribed by the Operator in order to use certain features of the Service.
- 2. Users shall provide accurate and up-to-date registration information.
- 3. Users are responsible for managing their own account information.
- 4. The Operator is not responsible for damages caused by insufficient account management, misuse, or third-party use, except in cases of intentional misconduct or gross negligence by the Operator.
- 5. Users must not transfer, lend, share, or sell their accounts to third parties.
Article 4 (Responsibility for Posted Content)
- 1. As a general rule, the poster is responsible for posted content.
- 2. Posters warrant that they have the necessary rights, permissions, consents, and authority to use posted content.
- 3. Posters must confirm at their own responsibility that posted content does not infringe third-party copyrights, trademarks, portrait rights, privacy rights, reputation rights, trade secrets, or other rights or interests.
- 4. Posters shall handle disputes, rights infringements, damages, claims, objections, and similar matters arising from posts at their own responsibility and expense.
- 5. Users must not post personal information, confidential information, information that infringes third-party rights, or information that violates laws or public order and morals.
Article 5 (Shared Link Posts)
- 1. Users may post shared links from ChatGPT, Gemini, Grok, and other external services on the Service.
- 2. For shared link posts, the poster is also responsible for the linked content.
- 3. Posters must confirm for themselves that shared links do not contain personal information, confidential information, content that infringes third-party rights, content that violates laws, or content that violates the terms of external services.
- 4. If linked content is deleted, changed, made private, or access-restricted, external links in posts may become unavailable.
- 5. The Operator does not guarantee the content, accuracy, safety, legality, or continued availability of shared links.
Article 6 (Visibility and Private Accounts)
- 1. Users may be able to set visibility for each post as prescribed by the Service.
- 2. Visibility categories may include public, followers only, private, draft, and other categories designated by the Operator.
- 3. Even for private accounts, followers-only posts, or private posts, post titles, usernames, profile information, and other information displayed by the Service specifications may be visible to other users.
- 4. Users must carefully confirm visibility settings and display scope when setting post visibility.
- 5. The Operator may change visibility setting specifications as necessary.
Article 7 (Prohibited Acts)
Users must not engage in the following acts when using the Service.
- 1. Acts that violate laws or public order and morals.
- 2. Criminal acts or acts related to criminal acts.
- 3. Acts that infringe third-party copyrights, trademarks, portrait rights, privacy rights, reputation rights, credit, trade secrets, or other rights or interests.
- 4. Inappropriately posting, sharing, or publishing personal information, confidential information, or third-party non-public information.
- 5. Posting another person's text, paid educational materials, articles, novels, lyrics, source code, images, or other copyrighted works without necessary rights or permission.
- 6. Posting defamation, threats, harassment, discriminatory expression, or excessively aggressive expression.
- 7. Posting misleading or dangerous information in high-risk fields such as medicine, law, finance, investment, health, and safety.
- 8. Spam, advertising, solicitation, affiliate inducement, or mass posting of identical or similar content.
- 9. Impersonation, registration of false information, or use of another person's account.
- 10. Placing excessive load on the Service's servers, networks, or systems.
- 11. Interfering with operation of the Service.
- 12. Unauthorized access, reverse engineering, scraping, vulnerability probing, or automated operation by bots or similar means.
- 13. Exploiting bugs, defects, or gaps in Service specifications.
- 14. Abusing report, feedback, follow request, or similar functions.
- 15. Causing disadvantage, damage, or discomfort to the Operator or third parties.
- 16. Any other act the Operator deems inappropriate.
Article 8 (Unpublishing, Deletion, and Account Suspension)
- 1. If the Operator determines that a user's post or conduct violates these Terms, Posting Guidelines, laws, or public order and morals, or if operationally necessary, the Operator may, without prior notice, unpublish or delete posts, restrict display, change visibility, restrict, suspend, or delete accounts, or take other necessary measures.
- 2. The Operator may review posted content based on reports, rights holder requests, user inquiries, or administrative judgment.
- 3. The Operator is not obligated to disclose reasons for measures except where required by law.
- 4. The Operator is not responsible for damages incurred by users due to measures under this Article, except in cases of intentional misconduct or gross negligence by the Operator.
Article 9 (Claims of Rights Infringement)
- 1. Anyone who believes their rights are infringed by a post or shared link on the Service may file a claim by the method prescribed by the Operator.
- 2. The Operator may review the claim and, if necessary, unpublish or delete the post or take other appropriate measures.
- 3. When filing a claim, the Operator may request necessary information such as the target post URL, the rights allegedly infringed, the reason, and contact information.
Article 10 (Intellectual Property Rights)
- 1. All rights in the Service name, logos, designs, programs, databases, text, images, and other elements of the Service belong to the Operator or third parties with legitimate rights.
- 2. Rights in content posted by users remain with the poster or legitimate rights holder.
- 3. Users grant the Operator a non-exclusive, royalty-free, transferable, sublicensable license to use posted content to the extent necessary for providing, displaying, distributing, storing, searching, introducing, improving, promoting, and operating the Service.
- 4. The license in the preceding paragraph terminates within a reasonable period after the relevant post is deleted. However, this does not apply to backups, logs, information already displayed or shared with other users, or information that must be retained for legal or operational reasons.
Article 11 (Image Posts)
- 1. The Service currently does not provide a feature for directly uploading image files.
- 2. If image posting features are added in the future, the Operator may change these Terms, Posting Guidelines, and Privacy Policy as necessary.
Article 12 (External Services)
- 1. The Service may integrate with or use Supabase, Vercel, Google Search Console, AI services, and other external services.
- 2. Use of external services is subject to the terms, privacy policies, guidelines, and other rules of each external service.
- 3. The Operator does not guarantee the content, availability, accuracy, safety, or continuity of external services.
- 4. Changes, suspension, termination, failures, or similar events in external services may affect the Service.
Article 13 (Changes, Suspension, and Termination of the Service)
- 1. The Operator may change, add, suspend, interrupt, or terminate all or part of the Service as necessary.
- 2. The Operator may suspend or interrupt all or part of the Service without prior notice in the following cases. (1) Maintenance, inspection, or updates of systems. (2) Failures of servers, networks, external services, or similar systems. (3) Difficulty providing the Service due to natural disasters, power outages, communication failures, or other force majeure events. (4) When necessary for security or operational reasons.
- 3. The Operator is not responsible for damages incurred by users due to changes, suspension, interruption, or termination of the Service, except in cases of intentional misconduct or gross negligence by the Operator.
Article 14 (Disclaimer)
- 1. The Operator does not guarantee the accuracy, legality, usefulness, safety, completeness, reliability, or currency of posted content, shared link content, AI outputs, user comments, or other information posted or shared by users on the Service.
- 2. Information on the Service is not a substitute for professional advice in matters requiring expert judgment, including medicine, law, finance, investment, health, and safety.
- 3. Users shall use information on the Service at their own judgment and responsibility.
- 4. The Operator is not responsible for damages incurred by users due to use or inability to use the Service, except in cases of intentional misconduct or gross negligence by the Operator.
- 5. Even if the Operator is liable, the Operator's liability is limited to ordinary and direct damages, and the Operator is not liable for special damages, indirect damages, lost profits, data loss, or loss of business opportunities. This does not apply where exemption or limitation of liability is not permitted by law.
Article 15 (Disputes Between Users and With Third Parties)
- 1. Disputes between users or between a user and a third party shall be resolved by the relevant user at their own responsibility and expense.
- 2. If a user's post or conduct causes damages, expenses, claims, disputes, or similar matters to the Operator, the user shall compensate the Operator for reasonable damages and expenses incurred.
Article 16 (Privacy)
- 1. The Operator handles user information in accordance with the separately established Privacy Policy.
- 2. Users agree to the Privacy Policy when using the Service.
Article 17 (Changes to the Terms)
- 1. The Operator may change these Terms as necessary.
- 2. When changing these Terms, the Operator will announce the revised content and effective date by posting on the Service or by other appropriate methods.
- 3. Unless otherwise specified by the Operator, the revised Terms take effect when posted on the Service or on the effective date specified in the announcement.
- 4. If a user continues to use the Service after changes, the user is deemed to have agreed to the revised Terms. However, for changes that legally require individual user consent, the Operator will obtain consent by the prescribed method.
Article 18 (Notices and Contact)
- 1. Notices from the Operator to users will be made by posting on the Service, sending to registered email addresses, or other methods the Operator deems appropriate.
- 2. Inquiries from users to the Operator shall be made through the inquiry form on the Service or the contact information at the end of these Terms.
Article 19 (No Assignment of Rights and Obligations)
Users may not transfer, assign, create security interests in, or otherwise dispose of their status under these Terms or rights and obligations under these Terms to third parties without prior consent from the Operator in writing or by electromagnetic means.
Article 20 (Severability)
Even if any provision or part of these Terms is determined invalid or unenforceable under laws or regulations, the remaining provisions and parts of these Terms remain in effect.
Article 21 (Governing Law and Jurisdiction)
- 1. These Terms are governed by the laws of Japan.
- 2. If a dispute arises between the Operator and a user regarding the Service, the Japanese court with jurisdiction over the Operator's location shall be the exclusive court of first instance, unless otherwise provided by law.
